Banc of America Leasing ( BAL ) is the specialist leasing and asset finance division of Bank of America Merrill Lynch. It is a global market leader comprising a US$62.

7 billion portfolio and 900 associates. BAL’s business in Europe, the Middle East and Africa ( EMEA ) operates from a European platform (London, Frankfurt and Dublin) which includes originators, syndicators, transaction managers, lawyers, accountants, credit underwriters, pricing specialists and equipment managers.

Two of BAL’s lines of business in EMEA include its International Asset Finance ( IAF ) and Global Corporate Aircraft Finance ( GCAF ) segments.

IAF provides asset finance solutions to corporate clients for large ticket assets with a focus on the marine, rail, aircraft engine, mining and manufacturing sectors.

GCAF provides tailored financial solutions for the acquisition of new and used business jets for corporate and high net worth individual clients.

To support our clients’ needs and the group’s additional business growth, BAL is recruiting for a VP level position in the Transaction Management Team ( TMT ), which has a direct report to the Director, Leasing Sales Support and Head of TMT.

The candidate would be based in Frankfurt, Germany and join a dynamic team which has primary responsibility for structuring, negotiating and executing all manner of asset finance transactions for the IAF and GCAF lines of business in EMEA.

This individual should have a strong background in banking and demonstrable experience in leading and delivering complex secured bilateral and syndicated term loans, finance leases and operating leases.

Specific transaction management responsibilities include :

  • Deal team leader providing transaction management, structuring and oversight for asset finance transactions from mandate to closing, including leading external deal negotiations together with Originations on behalf of BAL
  • Assisting Originations in structuring transactions from the outset (particularly with respect to tax issues and international booking requirements), including drafting pricing proposals and term sheets to help secure mandate
  • Responsible for reviewing documentation, identifying issues and facilitating discussions with credit, risk, legal and other control functions.
  • Transaction managers are the central point of communication for open issues, due diligence points and deliverables and are accountable for internal stakeholder management.

    In particular, they lead the resolution of pricing, tax, finance, accounting, legal and regulatory matters arising in cross-

    border asset finance transactions and ensure the concerns of internal stakeholders are dealt with during transaction evolution and reflected in the documentation

  • Liaising with clients and other banks, as well as external advisers such as law firms, tax advisers, accountants and insurance advisers in coordination with the Legal, Corporate Tax, Finance and Insurance teams
  • Working closely with the internal agency / security trustee team (where BAL is the lead arranger) and, together with Originations and Syndications, liaising with external arrangers (where BAL is a participant) to fulfill BAL’s obligations with respect to club / syndicated transactions
  • Closing / funding process management
  • Working with Operations and Finance to ensure all new transactions are correctly booked and recorded in the Bank’s systems on a timely basis, and providing guidance where necessary on routine in-
  • life transaction events such as fundings

  • Where necessary, acting as the primary interface and project leader for non-routine in-life transaction events such as waiver requests, restructuring secondary syndications and complex pre-delivery fundings
  • Occasional travel may be required depending on the transaction
  • General platform support includes :

  • Implementing streamlined processes on behalf of the teams which meet client demands whilst maintaining the standards and requirements of Banc of America Leasing, including improving existing processes and helping to identify potential gaps and exposures
  • Building up the knowledge base and templates for IAF and IAF Syndications in relation to business carried out in the EMEA region such as pricing proposals, term sheets, teasers and IMs
  • Managing client meetings and following up on any outstanding issues appropriately
  • Providing guidance, advice and training / presentations to various internal teams as required
  • Liaising as necessary with external advisers
  • Required Education :

    Bachelor’s degree; solicitor (or equivalent), finance or accountancy qualification preferred.

    Prior Work Experience :

  • At least 5-7 years’ experience with a bank, top tier law firm, financial institution or leasing company having had direct responsibility for managing and closing asset finance transactions.
  • Proven experience and knowledge in leasing and secured lending products / solutions is required.
  • Familiarity in dealing with tax matters such as VAT / GST particularly in a cross-border financing environment in the EMEA region would be highly regarded.
  • Required Skills :

  • Good knowledge of and previous work experience in sophisticated structured finance transactions
  • Strong analytical and communication skills (both oral and written in English)
  • Diplomacy skills and the ability to build networks and work across different lines of business and offices
  • Excellent organizational and time management skills
  • A flexible, team-spirited approach with the ability to work independently
  • Incisive attention to detail and ability to work accurately to tight deadlines in a demanding and fast-paced environment
  • Knowledge of other languages is an advantage
  • Good MS Office skills including presentation skills
