This entry to mid-level position is responsible for supporting Liferay’s rapidly growing business operations in Europe. The nature of the position requires close interaction and cooperation with Liferay’s sales team, business unit leaders and regional management and other internal stakeholders.
This position is an extension of our EMEA Commercial Legal team. The focus will be on Germany, Austria and Switzerland ( DACH ), but likely also includes support for additional territories depending on interest and skills.
This position will be based in Eschborn, Germany and report to the Managing Counsel of the Commercial Legal Group EMEA.
Structuring, reviewing, revising and negotiating both strategic framework agreements and transactional documents with customer prospects for the full scope of Liferay’s offerings including Subscription Services for both deployed and hosted software solutions, Managed Services, Professional Services and Trainings
Educating prospects on open source licensing and Liferay’s business model
Structuring, reviewing, revising and negotiating NDAs, subcontracting and channel partner agreements
Supporting marketing activities with an emphasis on data protection and competition law compliance
Providing first point of contact support for other non-revenue contract related legal issues arising in DACH and possibly other EMEA regions (e.
g. vendor agreements, leases, and purchasing agreements, etc.)
Identifying legal and operational risks and advising the business on options and consequences
Training internal clients on legal and contracting policies and issues, communicating with field personnel to educate on policies and procedures
Advising the business and general operations in a variety of areas (commercial, competition, corporate, IT, communications, IP, data protection, etc.
summarizing and communicating concepts that business can use
Supporting the continuous improvement of standard form agreements, playbooks, contract templates, and legal processes
Conducting legal research
Managing and coordinating legal matters handled by outside counsel
Assisting in the establishment and roll-out of company-wide policies with respect to programs, compliance, privacy, corporate, employment, security and intellectual property matters
Law Degree (Staatsexamen / Wirtschaftsrecht) from a German university
Additional qualifications in other jurisdictions in particular in the EU or the U.S. are an advantage
Creative problem-solving skills with a focus on achieving results that benefit our business while recognizing client needs
Ability to negotiate agreements in English and German is a must; ability to negotiate agreements in other languages is highly desired
Strong financial and business acumen is very important
Technical understanding of IT infrastructures and software development models is not required, but desirable
Prior experience in procurement or sales of software based products and solutions is preferred
Ideally, 2-5 years legal work experience, demonstrated success in in-house environments is preferred
